Legislative Decree n. 231/2001
SICURLIVE GROUP S.R.L. has adopted its own Organizational Model 231, in compliance with Legislative Decree no. 231/2001. This decree regulates the liability of legal persons, companies and associations, introducing the notion that such entities can be held liable for crimes committed in their interest or to their advantage by key figures within the organization or by those who are under their direction or supervision. The list of crimes considered includes, but is not limited to, crimes in relations with the public administration, computer crimes, crimes against industry and commerce, environmental crimes, and many others, expanded over the years to also include crimes such as manslaughter and serious negligent injury following violations of accident prevention regulations.
The sanctions provided for by the decree are severe and can include the ban on carrying out the activity, the suspension or revocation of licenses, the ban on contracting with the State, exclusion from financing and subsidies, up to considerable fines. The potentially devastating effect of such sanctions, including those of suspension and ban from business activities, underlines the importance of adopting and maintaining an effective internal governance system to prevent the commission of crimes.
To avoid liability, companies must demonstrate that they have adopted and effectively implemented, before the commission of the crime, a compliance model (Model 231) suitable for preventing crimes of the same nature. The effectiveness of this model is assessed on the basis of its ability to prevent specific crimes and is subject to the control of a Supervisory Body (SB), which has the task of supervising the functioning and observance of the organization and management model. The SB can be made up of a single individual or a group, depending on the specific needs of the entity, and is appointed by the management body of the entity with the task of ensuring the competence, independence and autonomy necessary to effectively carry out its role.
It should be noted that the organizational model is available at the administrative office and includes the adopted code of ethics by the Company.
